Clifford Chance advises on debut EUR 2,000,000,000 EMTN Programme and green bond issuance by Slovenské elektrárne

Clifford Chance London and Prague have advised BNP PARIBAS and Crédit Agricole Corporate and Investment Bank, acting as Arrangers, Dealers and Bookrunners, together with the syndicate of Dealers, on the establishment of EUR 2,000,000,000 EMTN programme for Slovenské elektrárne. As part of the programme, Slovenské elektrárne completed its highly successful debut issuance of EUR 750,000,000 3.875 per cent. Green Notes due 20 November 2032. The issuance saw strong investor interest, with books in excess of EUR 4.2 billion. This transaction represents an important step in the company’s capital markets strategy.

Our team provided comprehensive English and Slovak law advice on the programme establishment and the inaugural drawdown. The scope of work reflected the customary requirements for investment-grade EMTN structures, including programme documentation, due diligence and execution of the transaction.

Slovenské elektrárne is the largest electricity producer in Slovakia and one of the largest in Central Europe. It also produces and sells heat and provides support services for the electricity system. Slovenské elektrárne operates 31 hydroelectric, two nuclear, and two photovoltaic power plants with a total net installed capacity of approximately 3.9 GW. Slovenské elektrárne currently has two shareholders. The majority shareholder is Energetický a průmyslový holding (EPH) , which owns 66%. The remaining 34% stake is owned by the Slovak Republic.
