Clifford Chance Prague Association advises Carlyle on the acquisition of Adastra Group

Clifford Chance Prague Association has advised global investment firm Carlyle on its acquisition of Adastra Group, a Czech Canadian technology company specialising in business intelligence, data management and digital transformation. This transaction marks the largest M&A deal in the Czech Republic this year.

Our legal teams in Prague, London and Frankfurt supported Carlyle throughout the competitive bidding process and provided comprehensive legal advisory services on the transaction, including legal due diligence and negotiation of the transaction documentation and financing. The firm has a long-standing relationship with Carlyle and recently advised the lending banks on the financing aspects of its previous acquisitions of Czech companies Meopta and Tescan. “We are pleased to have supported Carlyle on this landmark Czech deal. Adastra represents a unique strategic opportunity, and we are proud to contribute to Carlyle’s continued investment in the region,” said Michal Jašek, partner at Clifford Chance Prague Association who led the advisory team.

Founded in 2000 and headquartered in Prague’s Karlín district, Adastra is a fast-growing international technology group with strong roots in North America. The company provides end-to-end digital and data services to clients across multiple sectors, including finance, telecommunications and retail. Its strength lies in the integration of solutions from leading IT providers such as Microsoft, giving it a significant competitive edge and international reach.

Carlyle is a global investment firm with deep experience in the Czech market. In recent years, it has invested in high-growth Czech companies across a variety of sectors, including Phrase (formerly Memsource), Tescan and Meopta. Carlyle’s global platform and sectoral expertise position it well to support Adastra’s next phase of growth and international expansion.

The Clifford Chance M&A team advising Carlyle on the transaction was led by partners Michal Jašek and Nigel Wellings and included senior associates Veronika Kinclová, Tomáš Procházka, and Stanislav Holec, associates Sebastian de Boer and Nikola Svobodová, and junior lawyers Petr Ryšina, Matěj Pavlík, Natálie Kurková, Dávid Herich, Šimon Pavlas, tax partner Edward Page, tax counsel Petr Šebesta and associate Archie Zverev, partner Moritz Petersen, counsels Nadine Neumeier and Tobias Born and associate Benjamin Wollweber.

The Clifford Chance Finance team advising on the transaction included partners Nicholas Kinnersley and Miloš Felgr, counsel Dominik Vojta, senior associate Lewis Whyte and associate Joshua Malek.
